CAC Registration Fees in Nigeria
Registering a company, increasing its share capital, or changing its name with the Corporate Affairs Commission (CAC) involves paying official government fees. These fees are primarily determined by the company's issued share capital and the type of transaction. Understanding how they are calculated helps in budgeting accurately for your business compliance activities.
How CAC Fees Are Calculated
The total fee typically consists of three components:
- Capital Registration Fee: This is a tiered fee based on the amount of your company's issued share capital. The CAC fee schedule charges ₦10,000 for the first ₦1,000,000 of capital, and an additional ₦5,000 for every subsequent ₦1,000,000 or part thereof. This applies to incorporations and increases in share capital.
- Stamp Duty: The Stamp Duties Act mandates a duty on the issued share capital. It is calculated as a percentage of the total capital. The current statutory rate is 0.75%.
- CAC Filing/Processing Fee: A fixed administrative fee charged by the CAC for handling the application. For a change of name, this is often the primary fee, as stamp duty and capital fees do not apply.
Example Calculation: New Company
Suppose you are registering a new private limited company with an issued share capital of ₦2,500,000.
- Capital Registration Fee: First ₦1,000,000 = ₦10,000. The remaining ₦1,500,000 counts as two additional ₦1,000,000 parts (₦1,000,000 and ₦500,000). 2 parts × ₦5,000 = ₦10,000. Total capital fee = ₦10,000 + ₦10,000 = ₦20,000.
- Stamp Duty: 0.75% of ₦2,500,000 = ₦18,750.
- CAC Processing Fee: ₦10,000.
- Total Estimated Fees: ₦20,000 + ₦18,750 + ₦10,000 = ₦48,750.
Example Calculation: Capital Increase
Consider a public company increasing its issued share capital to ₦75,000,000.
- Capital Registration Fee: First ₦1,000,000 = ₦10,000. The remaining ₦74,000,000 constitutes 74 additional parts (since any part of a million counts). 74 parts × ₦5,000 = ₦370,000. Total capital fee = ₦10,000 + ₦370,000 = ₦380,000.
- Stamp Duty: 0.75% of ₦75,000,000 = ₦562,500.
- CAC Processing Fee: ₦10,000.
- Total Estimated Fees: ₦380,000 + ₦562,500 + ₦10,000 = ₦952,500.
Common Filing Types
- Incorporation: All three fee components apply. Ensure your Memorandum of Association states the correct issued share capital.
- Increase in Share Capital: Fees are calculated on the new, increased amount of issued capital. You will pay the capital registration fee and stamp duty on the incremental value, plus the processing fee.
- Change of Name: Usually only involves a fixed CAC filing fee. The issued share capital of the company remains unchanged and does not affect the fee.
Important Considerations
The fee calculation per ₦1,000,000 or part thereof is specified in the Companies Regulations. It is crucial to use the correct issued share capital figure, as required under CAMA 2020.
The stamp duty rate of 0.75% is set by law but can be amended. Always check with the Federal Inland Revenue Service (FIRS) for the most current rate.
This calculator provides estimates. The CAC may introduce new fees or adjust existing ones. Always confirm the latest fee schedules directly with the CAC or through a licensed professional before making any payment.
Next Steps and Documentation
After estimating your fees, the next step is to prepare the required legal documents for submission to the CAC. For company registration or capital increase, the core document is the Memorandum of Association, which defines the company's issued share capital, among other key details. Our template can help you draft this correctly.
You will also need Articles of Association to govern the company's internal affairs. For a change of name, a Notice of Change of Business Name is the primary document to formally notify the CAC.
Using accurate figures from this calculator can help pre-fill these documents, saving you time and reducing errors.
