Grant of Rights

The Artist, __________, hereby grants to the Record Label, __________, the exclusive right, license, and privilege to record the Artist's performances and to manufacture, distribute, sell, lease, license, and otherwise exploit the master recordings produced hereunder (the "Masters") throughout the universe, in any and all media, whether now known or hereafter devised.

The Label shall account to the Artist semi-annually, within sixty (60) days following each June 30 and December 31. Each statement shall detail the Net Receipts, royalties earned, recoupable expenses deducted, and the net amount payable. The Artist shall have the right, upon reasonable notice and at the Artist's own expense, to audit the Label's books and records relating to the exploitation of the Masters.

Indemnification

Each party (the "Indemnifying Party") agrees to indemnify, defend, and hold harmless the other party (the "Indemnified Party") from and against any and all claims, damages, liabilities, costs, and expenses arising from a breach of the Indemnifying Party's representations, warranties, or obligations under this Agreement, including but not limited to claims of copyright infringement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, applicable to contracts made and to be wholly performed therein, without regard to its conflict of laws principles.

Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved first through good-faith negotiation between the parties.
