Free Loan Agreement Template
A loan agreement is a formal contract between a lender and a borrower that outlines the terms of a loan. It serves as a binding legal document that protects both parties by clearly defining the loan amount, interest, repayment schedule, and other critical conditions. Using a well-structured template is a key step toward creating a clear and enforceable agreement.
What is a loan agreement?
A loan agreement is a contract that legally binds a lender to provide funds to a borrower, who agrees to repay the money under specified terms. It is more detailed than a simple promissory note and is suitable for both personal loans between friends or family and formal business loans. Its primary purpose is to prevent misunderstandings by documenting all agreed-upon terms, ensuring both parties have a clear reference point.
Key components of a loan agreement
Every effective loan agreement template should include several fundamental sections to ensure clarity and legal soundness.
- Party Information: Full legal names and contact details of both the Lender and the Borrower.
- Loan Amount: The principal sum being lent, clearly stated in both numerical and written form.
- Interest Rate: The annual percentage rate (APR) applied to the loan, if any.
- Repayment Terms: A detailed schedule outlining payment amounts, due dates (e.g., monthly), and the loan's maturity date.
- Late Fees and Penalties: Stipulated charges for missed or late payments.
- Collateral (if applicable): A description of any asset pledged to secure the loan.
- Governing Law: The state whose laws will be used to interpret the agreement.
- Signatures and Date: Execution by both parties to make the document legally binding.
What must a loan agreement include?
A valid agreement typically identifies the parties, specifies the loan amount and repayment terms, includes an interest rate (even if it's 0%), and is signed by both the lender and borrower. Including clauses for default, late payments, and dispute resolution adds important protection.

- The agreed-upon interest rate and calculation method.
- The desired repayment schedule (start date, frequency, duration).
- Details on any collateral being offered.
- Agreed-upon terms for late payments or default.
Common clauses and scenarios covered
A robust template addresses various situations to protect both parties. Common clauses include acceleration (requiring full repayment if a term is breached), severability (keeping the rest of the agreement valid if one part is unenforceable), and prepayment (rules for paying off the loan early). Our templates are designed to cover standard scenarios for both personal loan agreement template and business loan agreement template needs. For highly unique or complex terms, further customization or legal consultation may be advisable.
What is the format of a simple loan agreement?
A simple loan agreement format is straightforward. It typically includes a title, the date, sections for party information and loan terms, signature blocks, and sometimes a notary acknowledgment. It focuses on the essential elements without overly complex legal jargon, making it suitable for many informal loans.
Benefits of using a formal loan agreement
Relying on a handshake or verbal promise carries significant risk. A written agreement provides concrete benefits:
- Clarity and Prevention of Disputes: Eliminates ambiguity by documenting all terms.
- Legal Enforceability: Creates a formal obligation for repayment.
- Defined Consequences: Outlines what happens if payments are missed, protecting the lender's interests.
- Formal Record: Serves as an official record for taxes or personal accounting.
- Preservation of Relationships: In personal loans, setting clear expectations helps maintain personal relationships.
Can I draw up my own loan agreement?
Yes, you can create your own agreement using a reliable free loan agreement template as a foundation. Using a guided generator like Doculau's helps ensure you include many necessary components, reducing the chance of error compared to drafting from scratch.
When to consult a legal professional
While templates are excellent for standard loans, seeking professional legal advice is recommended for complex situations. This includes loans involving very large sums, intricate repayment structures, business loans with multiple investors, or when using valuable or unusual collateral. A lawyer can provide tailored advice on the legal implications of specific loan terms.
Loan agreement vs. promissory note
It's important to distinguish these two documents. A promissory note is a simpler document that primarily contains a promise to repay a specific sum. A loan agreement is a more comprehensive contract that includes terms and conditions such as late fees, collateral, default provisions, and representations by both parties. For most formal loans, a full agreement is often recommended.
