The Parties acknowledge that any breach of this Agreement may cause irreparable harm to the Disclosing Party for which monetary damages may be an inadequate remedy. This Agreement is personal to the Parties and may not be assigned, delegated, or otherwise transferred by either Party without the prior written consent of the other Party.

Counterparts
