What is a Non-Disclosure Agreement (NDA)?
A Non-Disclosure Agreement, also known as a confidentiality agreement, is a legally binding contract between two or more parties that outlines confidential material, knowledge, or information that the parties wish to share with one another for certain purposes, but wish to restrict from wider use or dissemination. In Nigeria, an NDA creates a confidential relationship between the parties to protect any type of proprietary information.
Key clauses and sections of an NDA in Nigeria
A robust non disclosure agreement Nigeria template should contain several essential sections to be effective under Nigerian law. While specific wording may vary, these core clauses form the foundation of the agreement.
- Definition of Confidential Information: This clause clearly specifies what information is considered confidential. It can be broad or specific, covering documents, data, business plans, customer lists, technical processes, or any other sensitive material.
- Obligations of the Receiving Party: This section outlines the duties of the party receiving the confidential information, such as maintaining secrecy, limiting access to authorized personnel, and using the information only for the permitted purpose.
- Term and Termination: The agreement should state the duration of the confidentiality obligations. This period often extends beyond the termination of the underlying business relationship.
- Exclusions from Confidential Information: Not all information can be protected. This clause typically excludes information that is already publicly known, independently developed, or rightfully received from another source.
- Remedies for Breach: This critical clause explains the consequences if the agreement is violated. It often states that the disclosing party is entitled to seek legal remedies, such as court orders to prevent further disclosure and compensation for losses.
- Governing Law and Jurisdiction: For an NDA template Nigeria PDF to be enforceable, it should specify that it is governed by Nigerian law and that any disputes will be resolved in the appropriate Nigerian courts, such as the Federal High Court or the relevant State High Courts.

Legal considerations for NDAs in Nigeria
While a simple NDA template Nigeria provides a strong starting point, it is important to consider the Nigerian legal landscape. The enforceability of an NDA depends on it being reasonable in scope and duration. Agreements that are excessively broad or perpetual may face challenges. The agreement must also clearly identify the protected information; a vague definition can weaken its enforceability. Dispute resolution clauses should be carefully considered, specifying how matters will be handled.
Benefits of using a formal NDA
Relying on a formal NDA form Nigeria offers significant advantages over verbal assurances or informal emails. It provides clear, written evidence of the confidential relationship and the specific obligations undertaken. This clarity helps prevent misunderstandings and sets professional expectations from the outset. In the event of a breach, a signed NDA serves as a crucial document to support any legal action taken to seek redress.
